Jennifer Robinson Proud has been with Stites & Harbison since 1995. She has advised public and private corporations, partnerships, limited liability companies and nonprofit entities on mergers and acquisitions, commercial lending, regulatory issues, contract drafting and review and general business planning and advice.

Ms. Proud has substantial experience in tax-exempt financing serving as bond counsel, underwriter's counsel, issuer's counsel and credit enhancement counsel. She is listed in The Bond Buyer's Municipal Marketplace.

She also has experience with the regulation of pay-day lending and deferred deposit transactions.

In addition, Ms. Proud has substantial state and local taxation experience.

Recent Assignments

  • Served as bond counsel for $155,436,000 tax and revenue anticipation notes
  • Served as underwriter's counsel for $230 million and $63 million Health Facilities Revenue Bonds
  • Assisted with merger and restructuring of subsidiaries of publicly traded companies
  • Successfully negotiated settlement and buy-out for member of LLC thereby avoiding costly litigation and unfavorable buy-sell agreement terms and noncompetition provisions

Jennifer, a political science major, received a grant to study in St. Petersburg (then Leningrad) in 1991 during the period of perestroika and in the weeks leading up to Yeltsin's coup.

More Than Stites & Harbison

Jennifer is active in several civic and charitable organizations, including membership in and chairperson positions on the Board of Trustees of the Kentucky Opera and the Board of Directors of the Younger Women's Club of Louisville. She is a graduate of Focus Louisville and a former member of the Board of Directors of the Louisville Deaf Oral School.
